These Terms and Conditions (“Agreement”) govern your access to and use of the software, tools, and services provided by [AI Gold EA], including all associated platforms, websites, algorithms, and digital products operated under the brand (collectively referred to as the “Service”, “Software”, or “We”). By purchasing, downloading, installing, or using our software or services, you agree to be bound by this Agreement.

1. Services and Software Offered
We provide automated trading software specifically an algorithmic Expert Advisor (“AI Gold EA”) configured for trading gold (XAUUSD) and related instruments on retail forex broker platforms (such as MetaTrader 4 and MetaTrader 5). Our services include software licensing, automated algorithmic trade execution tools, algorithmic updates, technical installation guidance, and general system configuration support. We do not provide financial advice, broker services, asset management, or manual trade execution.

2. Eligibility
By using our services, you affirm that you are at least 18 years old and legally capable of entering into binding contracts. You also confirm that all information you provide during checkout and registration is accurate, complete, and truthful.

3. Account Registration, Licensing, and Security
To operate the Software, you may be issued an account license key tied to specific trading account numbers (demo or live broker accounts). You are solely responsible for:

Maintaining the security and confidentiality of your license keys and account credentials.

All trading activity executed on your personal brokerage accounts.

Ensuring your hardware, Virtual Private Server (VPS), and internet connectivity remain stable for proper automated execution.

4. Fees, Licensing, and Payment
a. Base License Fees: We offer lifetime license access or recurring subscription plans. Pricing and feature sets are detailed on our website. By purchasing, you agree to pay the applicable fees either upfront or on an ongoing subscription cycle.

b. Add-On Features and Services: Additional services such as dedicated VPS hosting setup, custom parameter optimization, multi-account license extensions, or VIP priority support may be billed separately. Any selected add-ons will be itemized and added to your total charge.

c. Payment Processing: Payments are processed via third-party gateways. You authorize us to charge your chosen payment method for initial purchases, upgrades, and automated renewals (if on a subscription).

d. System Settings and Customizations: Performance depends heavily on external factors, including broker execution speed, spreads, slippage, leverage, and user-selected risk parameters (lot sizes, stop loss levels, maximum drawdown limits). You acknowledge that changing default settings or ignoring recommended capital requirements alters the operational risk profile.

5. Refund Policy
Due to the digital nature of software downloads, immediate delivery of proprietary code, and instant license key activation, all sales are final. We do not offer refunds, chargebacks, or exchanges once the software file or license key has been generated or delivered.

6. User Conduct and Restrictions
You agree not to:

Reverse engineer, decompile, crack, modify, or extract the source code (MQL4/MQL5 or core algorithms) of the Software.

Distribute, resell, rent, lease, sublicense, or share your license key or software files with third parties.

Attempt to bypass licensing verification systems or digital rights management mechanisms.

Deploy the Software in violation of any applicable domestic or international financial laws, regulatory restrictions, or your broker’s terms of service.

Breach of this clause will lead to immediate, permanent revocation of your license keys and account termination without compensation.

7. High-Risk Investment Warning and Disclaimers
Trading Risk: Trading foreign exchange (Forex) and spot metals (such as Gold/XAUUSD) carries an extremely high level of risk and may not be suitable for all investors. High leverage can work against you as well as for you. There is a possibility that you could sustain a partial or total loss of your initial investment. You should never trade with money you cannot afford to lose.

No Guarantee of Profit: Past algorithmic performance, backtests, or vendor track records do not guarantee future results. Market liquidity, slippage, broker latency, high-impact economic news, and black swan events can adversely affect automated execution.

No Financial Advice: AI Gold EA is a software development and technology provider. We do not act as registered financial advisors, commodity trading advisors (CTAs), or broker-dealers. Any pre-set configurations or educational materials provided are for informational and technical purposes only.

8. Intellectual Property
All code, algorithms, visual interfaces, documentation, logos, strategies, and proprietary trading logic embedded within the Software are the exclusive intellectual property of [AI Gold EA]. No ownership rights are transferred to you; you are granted only a revocable, non-exclusive, non-transferable personal license.

9. Termination
We reserve the right to suspend, invalidate, or terminate your license keys and access to our services immediately if you breach any term of this Agreement. No refunds will be issued upon termination for cause.

10. Limitation of Liability
Under no circumstances shall [AI Gold EA], its developers, directors, or affiliates be held liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the Software. This includes, without limitation:

Trading losses or blown brokerage accounts.

Slippage, broker execution delays, spread widening, or server disconnects.

Technical failures, hardware malfunctions, or third-party VPS downtimes.

You deploy the Software on your broker accounts entirely at your own risk.

11. Amendments
We reserve the right to update or modify these Terms at any time. Any changes will be posted to our official website and take effect immediately upon publication. Continued use of the Software after modifications constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles. Any legal dispute or claim arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Ohio.
